Each deployment operates under a defined, non-transferable, time-bound commercial license granted per approved event or series. This license grants specific, limited rights while maintaining strict separation between platform ownership and operational deployment authority.

DEFINED SCOPE PARAMETERS
Rivalry Commerce licenses are precisely scoped to ensure alignment with event authority, operational readiness, and rights holder oversight. Every deployment parameter is defined, documented, and governed.
LICENSE DURATION & RENEWAL
Each license is granted for a specific, defined event or series duration. Licenses automatically terminate upon event conclusion unless explicitly renewed.
This is not a perpetual license. Renewal is evaluated per deployment based on performance, compliance, and mutual alignment.
Rivalry Commerce reserves the right to revoke any license for non-compliance, breach of terms, or failure to maintain operational standards.
Upon license termination, all operational rights cease. Data settlement and post-event reporting procedures are completed per agreement.
INTELLECTUAL PROPERTY PROTECTION
Exclusive Intellectual Property Reserved
All platform architecture, deployment methodology, lifecycle governance structure, access control logic, transaction authorization engine, data aggregation mechanisms, reporting algorithms, and commercial framework remain the exclusive intellectual property of Rivalry Commerce.
COMPLIANCE & GOVERNANCE
All deployments maintain compliance with applicable financial regulations, transaction reporting requirements, and event-specific governance frameworks.
Full transaction logs, access records, and revenue attribution data are maintained for post-event review and regulatory verification.
Rivalry Commerce operates as a licensed agent subject to rights holder oversight. All operational decisions remain aligned to rights holder strategic direction.
COMMERCIAL STRUCTURE
Rivalry Commerce operates under a performance-based commercial model where revenue is directly tied to transaction volume, participant engagement, and operational execution.

LIMITATION & LIABILITY
Rivalry Commerce provides the platform and services "as-is" without warranty of specific financial performance or participant adoption.
Rivalry Commerce's liability is limited to direct, verifiable damages related to transaction execution. Lost revenue claims are excluded.
Rivalry Commerce is not liable for service interruptions due to events beyond reasonable control.
